Terms of Service
Effective 15 October 2026
These terms govern your use of the Open Meridian platform at open-meridian.com (the "Platform"), provided by Societal Lab Inc., a New York corporation ("Societal Lab", "we", "us"). By creating an account or using the Platform, you agree to them. If you use the Platform for an organisation, you agree on its behalf and confirm you may do so; "you" then includes it.
1. What the Platform is
The Platform is where you manage Open Meridian: your account, your projects and their members, the deployments you register, the codes and keys they need, and the instrument reference data they draw on.
The Open Meridian software is separate. You run it yourself, in your own environment. It is licensed to you under its own open-source licences, which govern it: the GNU Affero General Public License v3 for the runtime and the command line, and the Apache License 2.0 for the SDK and the plugin contract. These terms do not restrict any right those licences give you.
2. Accounts
- You must be at least 18, and use the Platform for business or professional purposes.
- You sign in through our identity provider. Keep your sign-in secure; you are responsible for what happens under your account.
- Give us accurate information, and keep your email address current with your provider.
- Project owners decide who belongs to their project and in which role, and are responsible for those choices.
3. Free use, and changes to it
The Platform is currently free to use, and running the Open Meridian software yourself is free. If we introduce paid features, we will tell you before they apply to you, and nothing will be charged without your agreement.
4. Acceptable use
You will not:
- break the law, or infringe anyone's rights, using the Platform;
- try to reach data or accounts that are not yours, or get around the Platform's security, limits or access controls;
- disrupt the Platform, or overload it, including by automated means beyond what the Open Meridian software itself does;
- use the Platform to send spam, or invitations to people who have not asked for them;
- submit malicious code or data, or misleading instrument data;
- resell or provide the Platform to others as a service, except as part of the Open Meridian software you run.
5. Your data
What you put on the Platform, such as project and deployment names and invitations, stays yours. You give us a worldwide, non-exclusive licence to host, process and display it to operate and improve the Platform, as our Privacy Policy describes.
Instrument identifiers your deployments send in the schemes on the Platform's licence list become part of the shared reference data, which we may use and make available to all users of the Platform. They carry no quantities, prices, accounts or people.
Your positions, balances, orders and account data stay in the software you run, and are not sent to the Platform.
6. Instrument data
The instrument reference data on the Platform (identities, identifiers and how they map to one another) is provided to help your deployments recognise instruments. It is not market data, and not advice. We work to keep it accurate but do not promise that it is complete, current or free of errors. Check anything that matters before you rely on it.
7. Not financial services
Societal Lab is not a broker, dealer, investment adviser, exchange or trading venue, and the Platform does not give investment, legal, tax or accounting advice. You are solely responsible for your trading and investment decisions, for how you configure and operate the software you run, and for complying with the laws and regulations that apply to you.
8. Your deployments and their security
You are responsible for the environment you run Open Meridian in, for its security and its data, for the keys and codes the Platform issues to you, and for who you give access to. Keep codes private, and revoke a key you believe is compromised.
9. Feedback
If you send us suggestions or feedback, including in issues on our repositories, you give us a perpetual, irrevocable, worldwide, royalty-free licence to use it for any purpose, without obligation to you. We do not accept code contributions to our repositories.
10. Availability and changes
We work to keep the Platform available, but provide it without any promise of availability or support response times. We may change, suspend or stop any part of it. If we stop the Platform as a whole, we will give you reasonable notice. The software you run keeps working through a Platform outage, as it is designed to.
11. Suspension and termination
You may stop using the Platform at any time, and ask us to delete your account. We may suspend or end your access if you breach these terms, if the law requires it, or to protect the Platform or other users. Where we can, we will tell you first and give you a chance to fix the problem. Sections 5 to 7 and 12 to 16 survive termination.
12. Disclaimer
The Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement, to the extent the law allows.
13. Limitation of liability
To the extent the law allows, Societal Lab is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, trading losses or goodwill, arising from the Platform or these terms. Our total liability for all claims is limited to the greater of the amounts you paid us for the Platform in the twelve months before the claim, and one hundred US dollars.
14. Indemnity
You will defend and indemnify Societal Lab against claims by third parties arising from your use of the Platform in breach of these terms or the law.
15. Changes to these terms
We may update these terms. We will post the new version here with its effective date, and tell signed-in users of significant changes before they take effect. Continuing to use the Platform after that means you accept them.
16. Governing law and disputes
These terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. The state and federal courts in New York County, New York, have exclusive jurisdiction over any dispute about them, and you and we consent to that jurisdiction.
17. General
These terms, with the Privacy Policy, are the whole agreement between you and us about the Platform. If a provision is unenforceable, the rest still applies. Not enforcing a provision is not a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a merger or sale of our business.
